Sr Associate M&A ExecutionJob Summary:Constellation Software

Director, Corporate Development/M&A, in Mississauga, ON, will
lead evaluation of and execution on new investment opportunities,
including valuation, negotiation, due diligence, and investment
rationale and approvals, for a portfolio of Constellation
Software's Volaris Operating Group (www.volarisgroup.com).Job
Description:THE POSITIONThe Associate Director, Corporate
Development/M&A, in Mississauga, ON, will lead evaluation of
and execution on new investment opportunities, including valuation,
negotiation, due diligence, and investment rationale and approvals,
for a portfolio of Constellation Software's Volaris Operating Group
(www.volarisgroup.com). Responsibilities include:
- Researching, analyzing and evaluating new investment
opportunities through industry research, competitor assessments,
financial statement analysis and financial modeling
- Developing detailed financial investment models depicting a
company's historical and projected financial results and
constructing optimal transaction structures
- Preparing commercial and operational due diligence
- Assessing financial returns and risks for new investment
opportunities
- Preparing internal investment presentations
- Supporting capital structure management, including debt
refinancing, tax planning and capital budgeting
- Supporting negotiation of transaction documents, including
IO's, LOI's, and SPA's
- Conducting financial reporting to support decision making
- Ad hoc operating projects alongside management
- Assisting in managing and coaching a team of analystsTHE
CANDIDATE
- 5+ years of software (enterprise, B2B, SaaS) transaction
execution experience in a corporate development/buyside acquisition
role or related environment (investment banking, management
consulting, private equity, venture capital, top-tier accounting,
capital advisory, etc.)
- Business degree (MBA, BBA, BCom, etc.), preferably with a
finance specialization or follow-on training (CBV, CFA, CA,
etc.)
- Skills:
- Strong quantitative and analytical skills and proficiency in
financial modeling, valuation, and business case building,
including a working knowledge of accounting, tax, and legal
concerns for M&A
- Exceptional written and verbal communication skills with
specific ability to communicate concepts and ideas concisely and
defend their validity to senior executive leadership, business unit
leadership, and investment committee members.
- Strong work ethic, with an effective combination of business
acumen, sound decision-making, and ability to act in a decisive,
urgent, and committed way to achieve results.
- Excellent attention to detail, and the ability to work in a
fast-paced environment, manage multiple priorities and meet tight
deadlines.
- Aptitude to synthesize large amounts of information and to
develop innovative solutions.
- High level of self-motivation and keen sense of 'owning' and
delivering on project deliverables.
- Willingness and ability to travel (including international
